The Financial Edge — The Filing Is Not the Fix Issue

November 4, 2026

From Bo Howell

Three SEC items this week share one lesson: the paper you file and the language you publish are what the SEC examines. Snowden Capital Advisors LLC settled for $364,590.30 over affiliated broker-dealer revenue disclosure and a misleading hedge clause. The SEC sued BG Wealth Sharing Ltd and DSJ Exchange Pty Ltd over false filings tied to more than $130 million raised from retail investors. Separately, the SEC is taking comments until December 4, 2026 on whether CFA charterholders should count as accredited investors. Treat each as a workflow problem for your firm, not a legal curiosity. Governance starts with what your firm says and can prove.

ENFORCEMENT

Snowden Capital paid $364,590.30 over affiliate revenue and a hedge clause

The SEC found Snowden did not fully disclose affiliated broker-dealer revenue and used a misleading hedge clause, and the October 30, 2026 settlement priced both failures.

Total SEC order

$226,316.99

Disgorgement

$100,000

Civil penalty

Key takeaways

  • Trace affiliate revenue. Disclose every dollar your firm earns.
  • Rewrite hedge clauses. Remove language that dilutes fiduciary duty.
  • Test your fixes. A policy change is not a cure.

Why it matters

“A hedge clause that misleads clients is not protection. For Snowden Capital, it came with a $100,000 civil penalty.”

FALSE FILINGS

A fake Form ADV allegedly raised $130 million. A filing is not a license.

The SEC alleges BG Wealth Sharing and DSJ Exchange used false SEC filings to pull more than $130 million from tens of thousands of retail investors with promises of risk-free returns.

Case status

Key takeaways

  • Verify registration. Check IAPD, not the PDF.
  • Screen crypto claims. Treat risk-free returns as a red flag.
  • Police your marketing. Never cite a filing as endorsement.

Why it matters

“A filing proves a form was submitted. It does not prove registration, and it never makes returns risk-free.”

YOUR MOVE

FIRM MOVES

Four checks to run this month

Each item maps to a named order, complaint, or notice in this issue.

Registered Investment Advisers

  • Compare your Form ADV and client agreements against actual affiliated broker-dealer revenue.
  • Rewrite any hedge clause that could mislead a client about your fiduciary duty.

Broker-Dealers

  • Map every dollar your firm earns from affiliated advisers and confirm the adviser discloses it.

Digital Asset Issuers

  • Remove risk-free return language. BG Wealth Sharing allegedly promised exactly that from crypto trading signals.
  • Do not treat CFA charterholders as accredited unless the SEC designates them under Rule 501(a)(10).

Fintech Founders / Startups

  • Confirm any adviser or platform partner is registered before you integrate, and keep the record.
  • Decide by December 4, 2026 whether your firm will comment on File No. 4-933.
